1. Acceptance of these terms
By using this website, booking a call, submitting a form, or purchasing services, you confirm that you have read, understood, and agree to these Terms of Service. If you do not agree, please do not use the website or services.
2. Services
Services may include design, development, consulting, website strategy, implementation, audits, and related support. The exact scope, deliverables, fees, timeline, and responsibilities will be defined in the proposal, invoice, written agreement, or project communication shared with you.
3. Client responsibilities
You agree to provide accurate information, timely feedback, required assets, approvals, account access, and any third-party permissions needed to complete the work. Delays in feedback, content, approvals, or access may affect delivery timelines.
4. Payments and invoices
Fees are due according to the payment schedule stated in the relevant proposal or invoice. Work may pause if invoices remain unpaid. Unless stated otherwise in writing, taxes, platform fees, subscription costs, stock assets, plugins, third-party services, and hosting expenses are separate from service fees.
5. Intellectual property
After full payment, you receive ownership of final deliverables created specifically for your project, except for pre-existing materials, reusable methods, frameworks, templates, tools, third-party assets, and portfolio materials. You are responsible for ensuring any content, assets, or references you provide are properly licensed.
6. Revisions and approvals
Included revisions are limited to the scope agreed for the project. Additional revisions, new feature requests, content rewrites, design changes, or scope changes may require a separate quote and timeline. Approval of a milestone or deliverable confirms acceptance of that stage.
7. Third-party services
Projects may rely on platforms, integrations, APIs, fonts, analytics, payment providers, hosting services, or other third-party tools. These services are governed by their own terms, pricing, uptime, privacy practices, and limitations. Panda Agency is not responsible for third-party changes, outages, or policy updates.
8. Limitation of liability
To the maximum extent permitted by law, Panda Agency will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from your use of the website or services. Panda Agency’s total liability for any claim will not exceed the amount you paid for the specific service giving rise to the claim.
9. Termination
Either party may end a project according to the written agreement or project communication. You remain responsible for work completed, expenses incurred, and approved milestones up to the termination date.
